Tax Preparation Service Agreement

This Tax Preparation Service Agreement ("Agreement") is entered into between Elite Approvals ("Company") and the undersigned client ("Client") for the purpose of providing tax return preparation and filing services. WHEREAS, Client desires to retain Company to prepare and file the tax return(s) indicated at enrollment; WHEREAS, Company agrees to provide such services under the terms of this Agreement; NOW THEREFORE, the parties agree as follows:

Section 1: Scope of Services

  • Prepare and file Client's federal and applicable state tax return(s) for the filing type selected at enrollment.
  • Review income documents, deductions, and credits provided by Client for completeness and consistency.
  • Advise Client on documentation reasonably needed to complete the return.
  • Provide general guidance on estimated tax payments where applicable to Client's filing type.

Section 2: Fees & Payment

Client agrees to pay the filing fee corresponding to the filing type selected at enrollment: Individual $199, Sole Proprietor/Self-Employed $499, or LLC/S-Corp/Partnership $799, due in full at signing. This fee covers preparation and filing of the selected return type for one tax year only. Additional forms, amended returns, multi-state filings, or prior-year returns are outside this Agreement's scope and, if requested, will be quoted and agreed to separately in writing before any additional work begins.

Section 3: No Guarantee / Disclaimers

Company will exercise reasonable professional care in preparing Client's return based on the information and documentation Client provides. Company does not guarantee a specific refund amount, a specific tax outcome, or that the return will be free from audit or inquiry by the IRS or any state tax authority. Client remains solely responsible for the accuracy and completeness of the information provided to Company, and for reviewing the completed return before it is filed.

Section 4: Client Responsibilities

  • Provide complete, accurate, and timely income and expense documentation for the tax year(s) covered by this engagement.
  • Respond promptly to Company's requests for clarification or additional documents.
  • Review the completed return for accuracy and provide written approval before Company files it on Client's behalf.
  • Retain copies of all filed returns and supporting documentation as required by applicable law.

Section 5: Term & Cancellation

This Agreement covers preparation and filing for the tax year(s) specified at enrollment and terminates upon completion of that engagement, unless terminated earlier under this section. Client may cancel this Agreement in writing at any time before Company begins substantive preparation work, for a full refund of the filing fee paid. Once Company has begun substantive preparation work on Client's return, the filing fee becomes non-refundable, except as required by applicable law.

Section 6: Independent Contractor Relationship

The relationship between Client and Company is that of independent parties. Nothing in this Agreement creates a partnership, joint venture, employment relationship, or fiduciary relationship. Neither party has authority to bind the other except as expressly stated in this Agreement.

Section 7: Limitation of Liability

To the fullest extent permitted by applicable law, Company and its owners, employees, contractors, and representatives shall not be liable for indirect, incidental, special, or consequential damages arising from the performance of services under this Agreement. Company's total liability, if any, shall not exceed the total amount actually paid by Client to Company under this Agreement. Nothing in this Agreement limits any rights or protections provided to Client under applicable federal or state consumer protection law.

Section 8: Governing Law

This Agreement shall be governed by and interpreted according to the laws of the State of Florida. Any dispute arising from this Agreement shall first be addressed through good-faith communication between the parties before either party pursues other available remedies.

Section 9: Entire Agreement & Severability

This Agreement represents the complete understanding between Client and Company regarding the services described above and replaces all prior discussions or proposals relating to those services. Any changes must be made in writing and agreed to by both parties. If any provision of this Agreement is found invalid or unenforceable, the remaining provisions shall continue in full effect.

Section 10: Electronic Signature Agreement

This Agreement may be executed electronically. Client acknowledges that an electronic signature has the same legal effect as a handwritten signature. By signing electronically, Client confirms that Client has read, understands, and agrees to the terms of this Agreement.

Section 11: Client Right to Cancel

Client may cancel this Agreement without penalty within three (3) business days after signing, provided Company has not yet begun substantive work or made a third-party placement on Client's behalf. Any payment received during that window will be refunded within ten (10) days of Company receiving the cancellation notice.
